2. Definitions

• Service refers to the RegFast website, documentation templates, and any related services.
• Templates means the documentation templates, forms, procedures, and related materials available for download or purchase.
• User refers to the individual accessing or using the Service.
• Content includes all text, graphics, logos, icons, images, audio clips, and software.
• Customer means a User who has purchased a Template or Service.

3. License to Use Templates

Subject to your compliance with these Terms, RegFast grants you a limited, non-exclusive, non-transferable license to use the Templates for the following purposes:

• To create documentation for your own business or organization.
• To modify the Templates to suit your specific needs.
• To use the Templates in connection with products or services you provide to your clients.

You may not share, distribute, sell, or make the Templates available to third parties without our prior written consent. This license does not permit you to use the Templates for any commercial purpose other than as expressly permitted in these Terms.

4. Restrictions

You agree not to:

• Copy, reproduce, duplicate, or resell any part of the Templates.
• Use the Templates to create competing products.
• Remove any copyright or proprietary notices from the Templates.
• Transfer, sublicense, or assign your license rights to any third party.
• Use the Templates in any manner that violates applicable laws or regulations.
• Attempt to reverse engineer, decompile, or disassemble any part of the Templates.

5. Purchases and Payment

When purchasing Templates or Services:

• All prices are displayed exclusive of applicable taxes unless otherwise stated.
• Payment must be made in full before delivery of digital products.
• All purchases are final. Refunds may be considered on a case-by-case basis for defective Templates, at our sole discretion.
• We reserve the right to modify prices at any time prior to purchase.

6. Intellectual Property

Unless otherwise stated, RegFast and its licensors own all intellectual property rights in the Templates and Service. All trademarks, logos, and service marks displayed on our website are the property of their respective owners.

You retain ownership of any content you create using our Templates. By using our Service, you grant us a non-exclusive, worldwide, royalty-free license to use your feedback and suggestions to improve our products.

7. User Responsibilities

You are responsible for:

• Ensuring your use of the Templates complies with all applicable laws and regulations, including medical device documentation requirements (FDA, MDR, ISO 13485, etc.).
• Reviewing and validating all documentation created with our Templates before submission to regulatory bodies.
• Maintaining the confidentiality of your account credentials and download links.
• Providing accurate and complete information when contacting us or making a purchase.
• Using the Templates only for lawful purposes and in accordance with these Terms.

8. Disclaimer of Warranties

THE TEMPLATES AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Templates will meet your specific requirements or be error-free.
• Your use of the Templates will result in regulatory approval or compliance.
• The Service will be uninterrupted, timely, secure, or error-free.
• Any information obtained through the Service will be accurate or reliable.

You are solely responsible for ensuring that your documentation meets the requirements of applicable regulatory authorities.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REGFAST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Service;
• Any conduct or content of any third party on the Service;
• Any unauthorized access, use, or alteration of your transmissions or content;
• Any loss of data or business interruption resulting from the use of Templates;
• Any regulatory actions, fines, or penalties resulting from your use of the Templates.

Our total liability to you for any claim arising out of or relating to these Terms or your use of the Service shall not exceed the amount you paid us for the Template or Service giving rise to the claim in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless RegFast and its affiliates, officers, agents, and employees from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt (including reasonable attorneys' fees) arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right; or (d) any claim that your use of the Templates caused damage to a third party.

11. Privacy and Data Protection

We respect your privacy. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Service, you consent to the data practices described in our Privacy Policy.

When you submit a contact form or download resources, we collect your name, email address, company, and message content. This information is used solely to respond to your inquiries and provide requested services. We do not sell or share your personal data with third parties except as necessary to provide our services (e.g., email delivery via Resend).

12. Third-Party Services

Our Service may use third-party services including but not limited to:

• Resend - for email delivery and contact form processing
• hCaptcha - for spam protection and bot detection
• Vercel - for hosting and deployment
• Upstash - for rate limiting and caching (when implemented)

These third-party services have their own terms of service and privacy policies. You agree to be bound by those terms when using our Service. We are not responsible for the acts or omissions of these third parties.

13. Modifications to the Service

We reserve the right at any time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

14. Modifications to These Terms

We may update these Terms from time to time. The updated version will be indicated by an updated "Last updated" date at the top of this page. We will notify users of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes your acceptance of the new Terms. If you do not agree with the updated Terms, you must stop using the Service.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Serbia (as RegFast is operated from Belgrade, Serbia), without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located in Belgrade, Serbia for any legal actions.

16. Dispute Resolution

Any dispute arising out of or relating to these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiations. If negotiations fail, the dispute shall be resolved through binding arbitration in Belgrade, Serbia, in accordance with the rules of the Serbian Voluntary Arbitration Center. The decision of the arbitrator shall be final and binding.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18. No Waiver

The failure of RegFast to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of RegFast.

19. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and RegFast regarding your use of the Service, superseding any prior agreements or understandings.
